Zapp Songs Terms of Service

Welcome to Zapp Songs. These Terms of Service ("Terms") govern your access to and use of the Zapp Songs website, platform, memberships, song creation tools, affiliate features, media, and related services (collectively, the "Services"). By accessing, purchasing from, registering for, or using Zapp Songs, you agree to these Terms. If you do not agree, do not use the Services.
1. Who We Are
Zapp Songs ("Zapp Songs," "we," "our," or "us") provides personalized digital song creation services, memberships, affiliate features, and related family-focused media experiences.

2. Eligibility
Age Requirement
You must be at least the age of majority in your jurisdiction to create an account, purchase a membership, submit payment information, or upload content to the Services.
Using on Behalf of a Child
If you use Zapp Songs on behalf of a child, you represent that you are that child's parent or legal guardian, or otherwise authorized to provide the child-related information and content you submit.

5. Personalized Song Creation
What You Can Submit
Our Services may allow users to submit information and content such as:

How It Works
You understand that personalized song generation may involve automated, software-driven, or AI-assisted processing.
While we aim to provide high-quality results, generated songs may vary in style, wording, timing, quality, or creative outcome.
6. User Content and Permissions
You retain rights you may have in content you lawfully submit, subject to the rights granted in these Terms. By submitting or uploading content to Zapp Songs, you grant us a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, process, modify, and transmit that content solely as needed to operate, improve, secure, support, and deliver the Services you requested.
Ownership
You own or control the rights to submitted content.
Authorization
You have authority to submit any child-related information or audio.
Non-Infringing
Your submission does not violate the rights of others.
Lawful Content
Your submission is not unlawful, abusive, deceptive, or infringing.

We may reject or remove content that violates these Terms or creates legal, safety, or operational concerns.
7. Memberships and Recurring Billing
Zapp Songs may offer recurring membership plans, including plans that provide monthly song credits or related features. By purchasing a recurring membership, you agree to the following:

Auto-Renewal
Your subscription will renew automatically at the disclosed billing interval unless cancelled.

Recurring Charges
Your payment method may be charged on a recurring basis at the applicable rate.

Plan Terms
Pricing, plan features, and song allotments are subject to the terms displayed at purchase.

Billing Responsibility
You are responsible for keeping billing information current and accurate.
Recurring billing continues until you cancel, your membership expires, or we suspend or terminate the membership under these Terms.
8. One-Time Purchases
What's Included
Zapp Songs may offer one-time digital purchases, including single-song products or limited-use song credits.
No Ongoing Subscription
One-time purchases do not create an ongoing subscription unless expressly stated at checkout. Each purchase is a standalone transaction for the specific product or credit purchased.
9. Plan Features and Usage Limits
Membership plans may include different song allotments, features, access levels, queue priority, or promotional benefits. You agree to the following usage terms:
Billing Cycle Limits
Plan limits apply per billing cycle where stated.
Unused Allotments
Unused monthly allotments may expire at the end of the cycle unless otherwise stated.
One-Time Entitlements
One-time song entitlements may be limited to the purchased amount.
Active Membership
Access to certain features may depend on active membership status.

We may deny generation requests that exceed available entitlements, violate platform rules, or require unavailable resources.
10. Payment Processing
Payments may be processed by third-party payment processors, gateways, billing providers, or merchant partners. By making a purchase, you authorize the applicable payment processor to charge the selected payment method.
Processor Availability
We do not guarantee ongoing availability of any specific processor or payment method.
Processor Actions
If a payment processor declines, reverses, holds, freezes, or delays a transaction, we are not responsible for processor-side actions beyond our direct control.
11. Failed Payments, Suspensions, and Expiration
If a recurring payment fails, your account may be moved into a grace period, suspended state, past-due status, or expiration flow.
Payment Retry
We may retry the payment using the payment method on file.
Access Paused
Access to future membership benefits may be paused during the resolution period.
Song Creation Suspended
New song creation may be suspended until payment is resolved.
Dashboard Restrictions
Dashboard features tied to active status may be restricted.
Membership Expiration
Membership may expire or be cancelled after unresolved payment failure.

Previously completed services may be treated differently from future entitlements.
12. Cancellation Policy
Memberships may be cancelled at any time. Unless otherwise stated, the following applies upon cancellation:
Future Renewals Stop
Cancellation stops future renewals from occurring.
Current Period Remains Active
Your current billing period remains active until it expires.
Song Credits End
Future monthly song credits stop after the current period ends.
Download Your Songs
Download completed songs before any access period ends if continued dashboard access is no longer available.

Cancellation does not automatically entitle you to a refund for the current billing period.
13. Refunds
General Policy
Because Zapp Songs involves personalized, digital, and often immediately processed content, refunds may be limited. Except where required by law, completed custom digital services or delivered digital goods may be non-refundable.
Eligible Review Cases
We may review refund requests in cases such as:
  • Duplicate charges
  • Technical delivery failures
  • Billing errors
  • Unauthorized transactions, subject to verification

If you have a billing issue, contact support before opening a charge dispute whenever possible.
14. Affiliate and Referral Program
Zapp Songs may offer referral codes, affiliate links, commissions, reward structures, or promotional participation opportunities. Participation in any affiliate or referral system is subject to these Terms and any additional program rules we publish.
Participation Approval
We may approve or deny affiliate participation at our discretion.
Commission Management
We may withhold, reduce, reverse, or deny commissions tied to fraud, refunds, abuse, or rule violations.
Payout Requirements
We may require tax or payout information before releasing funds.
Program Changes
We may change commission structures, eligibility rules, or payout timing at any time.

Affiliate participation does not create employment, partnership, franchise, agency, or investment rights. No guaranteed income or earnings are promised.
15. Future Commissions and Account Status
Affiliate benefits may depend on account standing, membership status, compliance with program rules, payout verification, and ongoing platform eligibility.
Status Dependency
If dashboard access, membership eligibility, or affiliate status ends, future commission eligibility may also be limited or ended according to the program rules then in effect.
Record Retention
We may retain records required for accounting, fraud review, tax compliance, and legal obligations even after account closure or status changes.
16. Acceptable Use
You agree not to use the Services in any of the following ways:

Violate laws or regulations, or use the platform for deceptive, fraudulent, or unlawful conduct.
🚫 Impersonation
Impersonate another person or submit infringing or unauthorized content.
🚫 Harm to Minors
Exploit or abuse children or minors in any way through the platform.
🚫 Malicious Code
Upload malware, harmful code, or destructive content to the platform.
🚫 Unauthorized Access
Attempt to access other users' accounts or data, or interfere with platform security.
🚫 Abuse of Promotions
Abuse promotions, rewards, referrals, or commissions in any manner.

We may suspend or terminate accounts that violate these rules.
17. Intellectual Property
Zapp Songs and its Services, including branding, website design, platform logic, software, creative systems, text, graphics, logos, audio processing workflows, and related materials, are owned by or licensed to Zapp Songs and are protected by intellectual property laws.
No Transfer of Ownership
These Terms do not transfer ownership of our intellectual property to you. All rights not expressly granted are reserved.
Prohibited Actions
You may not copy, reverse engineer, reproduce, distribute, sublicense, scrape, or exploit our Services except as expressly permitted by these Terms.
18. Availability of Service
We aim to provide reliable access, but we do not guarantee uninterrupted or error-free service. The Services may be affected by various factors:
Maintenance
Scheduled or emergency maintenance windows may temporarily affect access.
Third-Party Outages
Processor issues, hosting, or infrastructure interruptions beyond our control.
Network Issues
Queue delays, scaling limits, and network connectivity issues may occur.

We may update, modify, pause, or discontinue all or part of the Services at any time.
19. Generated Output Disclaimer
Personalized songs and media are creative outputs. We do not guarantee the following:
Exact Wording
Generated lyrics and content may differ from specific expectations or prompts submitted.
Artistic Style
No specific artistic style or musical genre outcome is guaranteed.
Delivery Time
Guaranteed delivery time cannot be assured in all conditions or queue states.
Voice Likeness
Exact likeness of uploaded voice submissions is not guaranteed in the output.
Commercial Suitability
Songs may not be commercially suitable for any specific use without further review.

Users remain responsible for reviewing outputs before further distribution or use.
20. Data, Privacy, and International Users
Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
Global Operations
Zapp Songs may serve users globally. By using the Services, you understand that information may be processed, stored, or transferred across jurisdictions in connection with our global operations, subject to applicable protections where required.
21. Third-Party Services
The Services may rely on third-party providers such as payment processors, hosting vendors, analytics tools, or communications services.

We are not responsible for third-party systems, terms, outages, processing decisions, or policies beyond our direct control. Use of third-party services may be subject to their own terms and privacy policies.
22. Termination
We may suspend, restrict, or terminate access to the Services under the following circumstances:
Terms Violations
You violate these Terms or any applicable policies.
Fraud or Abuse Risk
You create fraud, abuse, legal, financial, or processor risk for the platform.
Account Inactivity
Your account is inactive for an extended period of time.
Payment Failure
Payment obligations fail and remain unresolved.
Operational Changes
Required operational or legal changes make continuation impractical.

You may stop using the Services at any time, subject to any active subscription or payment obligations already incurred.
23. Limitation of Liability
To the maximum extent permitted by law, Zapp Songs and its affiliates, owners, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, lost business opportunity, goodwill loss, or service interruption.
Liability Cap
Our total liability for any claim will not exceed the amount you paid to Zapp Songs for the specific service during the twelve (12) months before the event giving rise to liability.
Minimum Threshold
In no case will our liability be less than one hundred U.S. dollars (US $100), whichever is greater than the amount paid.

Some jurisdictions do not allow certain liability limitations, so parts of this section may not apply to you.
24. Indemnification
You agree to defend, indemnify, and hold harmless Zapp Songs and its affiliates, owners, officers, employees, contractors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses arising out of:
Use of Services
Your use of the Services in any manner that results in claims or damages.
Uploaded Content
Content you upload, submit, or transmit through the platform.
Terms Violations
Your violation of any provision of these Terms of Service.
Rights Infringement
Your infringement of another person's intellectual property or other rights.
Feature Misuse
Your misuse of affiliate, payment, or membership features.
25. Modifications to the Terms
Right to Update
We may update these Terms from time to time as our Services evolve, legal requirements change, or operational needs arise.
How Updates Take Effect
Updated Terms become effective when posted with a new "Last Updated" date unless otherwise stated. Your continued use of the Services after updated Terms are posted means you accept the revised Terms.

We recommend reviewing these Terms periodically to stay informed of any changes that may affect your use of the Services.
26. Governing Law
These Terms will be governed by and interpreted in accordance with the laws designated by Zapp Songs in its applicable operating jurisdiction, without regard to conflict-of-law principles, except where mandatory consumer law provides otherwise.

If a specific governing law or venue clause is needed for your final business structure, it should be inserted here once finalized.
27. Severability
Unenforceable Provisions
If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable.
Remaining Provisions
The remaining provisions of these Terms will remain in full force and effect, unaffected by the modification or removal of any unenforceable provision.
28. Entire Agreement
These Terms, together with any posted policies expressly incorporated by reference, constitute the entire agreement between you and Zapp Songs regarding the Services.
This agreement supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the subject matter of these Terms. No other representations, warranties, or agreements not expressly set forth herein shall be binding on either party.
